These Terms of Service are entered into by and between you (“Customer” or “You”) and MB Product lab (“Provider,” “we,” or “us”). Provider and Customer may be referred to individually as a “Party” and collectively as the “Parties.” The following terms and conditions, together with any Order Forms or other documents they expressly incorporate by reference (collectively, the “Agreement”), govern your access to and use of mentionpilot.com and our Services.
For Visitors to Our Website
Please read this Agreement carefully before you start to use the Website. By using the Website, you accept and agree to be bound and abide by this Agreement, and our Privacy Policy, found at mentionpilot.com/privacy, incorporated herein by reference. If you do not want to agree to this Agreement or the Privacy Policy, you must not access or use the Website.
This Website is offered and available to users who are 18 years of age or older.
We may revise and update the visitor terms from time to time in our sole discretion. All changes are effective immediately when we post them here, and apply to all access to and use of the Website thereafter.
Your continued use of the Website following the posting of any revisions means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes.
We reserve the right to withdraw or amend this Website, and any service or material we provide on the Website, in our sole discretion without notice.
Intellectual Property Rights
The Website and its entire contents, features, and functionality are owned by Provider, its licensors, or other providers and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website, except as expressly permitted by us.
Permitted Uses
You may use the Website only for lawful purposes and in accordance with this Agreement. Additionally, you agree not to: use the Website in any manner that could disable, overburden, damage, or impair the site; use any robot, spider, or other automatic device; or use any means to access the Website for any purpose, including monitoring or copying any of the material on the Website.
Disclaimer
The information presented on or through the Website is made available solely for general information purposes.
TO THE FULLEST EXTENT PROVIDED BY LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL.
THE WEBSITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” BASIS.
For Subscribers
Definitions
- Access Credentials: Usernames, passwords, and other credentials for accessing the Services.
- Aggregated Statistics: Data and information relating to Customer’s use of Services in anonymized and aggregated form.
- Authorized User: Customer’s employees, consultants, contractors, and agents authorized to access the Services.
- Customer Data: Information, data, and content provided by Customer or Authorized Users.
- Documentation: Provider’s user manuals and guides.
- Intellectual Property Rights: All patents, trademarks, copyrights, trade secrets, and related rights.
- Order Form: Each ordering document referencing these Terms.
- Provider IP: The Services, Documentation, and all related intellectual property.
- Services: The mentionpilot.com platform and related services.
- Subscription Term: The term for Services as set forth in an Order Form.
- Third-Party Products: Products or services from third parties made available by Provider.
Access and Use
Provision of Access: Provider grants Customer a non-exclusive, non-sublicensable, non-transferable right to access and use the Services during the Subscription Term.
Documentation License: Non-exclusive, non-sublicensable, non-transferable license to use Documentation.
Use Restrictions
Customer shall not:
- Use the Services beyond the granted scope.
- Sublicense, sell, resell, transfer, or assign the Services.
- Copy or duplicate the Services.
- Reverse engineer or attempt to obtain source code.
- Access the Services to build a competing product.
- Use the Services to send unsolicited communications.
Reservation of Rights: Provider reserves all rights not expressly granted.
Suspension: Provider may suspend Customer’s and Authorized Users’ access to any portion or all of the Services if: Provider reasonably determines Customer’s use poses a security risk or adversely impacts Provider’s systems, or Customer is in breach of this Agreement or overdue on payments.
Aggregated Statistics: Provider may monitor use and compile aggregated statistics for any business purpose.
Customer Obligations
Customer is responsible and liable for all uses of the Services resulting from access provided by Customer directly or indirectly to any Authorized User. Customer must ensure Authorized Users comply with this Agreement.
Service Level
Provider shall use commercially reasonable efforts to make the Services available with minimal downtime, except for scheduled maintenance.
Data Backup
The Services do not replace the need for Customer to maintain regular data backups or redundant data archives.
Security
Provider will employ security measures in accordance with its data privacy and security policy. Customer has sole responsibility for all Customer Data content and security of its own systems.
Fees and Payment
Customer shall pay all fees specified in all applicable Order Forms. Unless otherwise set forth in an Order Form, Customer will pay by credit card or other agreed method. All Fees are exclusive of taxes. If Customer is 30 days or more overdue, Provider may suspend access.
Confidential Information
Both parties must protect each other’s Confidential Information, not use it except as necessary, and promptly notify of unauthorized disclosure. These obligations survive termination.
Intellectual Property Ownership; Feedback
Provider owns all Provider IP. Customer owns all Customer Data. Any Feedback provided to Provider is granted as a non-exclusive, worldwide, royalty-free license.
Representations and Warranties
Each party represents it is duly organized, has full authority to enter into this Agreement, and execution is duly authorized. Provider warrants commercially reasonable performance. Customer warrants it has rights to all Customer Data provided.
Disclaimer of Warranties
EXCEPT FOR EXPRESS WARRANTIES, ALL SERVICES AND PROVIDER IP ARE PROVIDED “AS IS.” PROVIDER SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Indemnification
Provider shall indemnify Customer against claims arising from Provider IP infringement. Customer shall indemnify Provider against claims arising from Customer Data, Customer materials, Customer’s breach of representations, or Customer’s negligence or willful misconduct.
Limitations of Liability
IN NO EVENT WILL EITHER PARTY BE LIABLE FOR ANY LOSS OF USE, LOSS OF REVENUE, LOSS OF ANTICIPATED SAVINGS OR PROFITS, LOSS OF GOODWILL, LOSS OF DATA, OR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, COVER, BUSINESS INTERRUPTION OR PUNITIVE DAMAGES. EXCEPT FOR PROVIDER’S INDEMNIFICATION AND CONFIDENTIALITY OBLIGATIONS, IN NO EVENT WILL EITHER PARTY’S AGGREGATE LIABILITY EXCEED THE AMOUNT PAID OR PAYABLE BY CUSTOMER IN THE 12 MONTHS PRECEDING THE CLAIM.
Term and Termination
Term of Agreement: Commences on the Effective Date and continues until terminated. Either party may terminate for cause if the other materially breaches and fails to cure within 30 days of notice. Upon termination, all licenses are revoked, Customer must cease use, and Provider may disable access.
Surviving Terms: Confidentiality, IP ownership, indemnification, limitations of liability, and miscellaneous provisions survive termination.
Miscellaneous
Notices: In writing, via email to hello@mentionpilot.com or at MB Product lab, Green Hall 2, Upės g. 21, LT-08128 Vilnius, Lithuania.
Force Majeure: Neither party is liable for failures due to causes beyond reasonable control.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the Republic of Lithuania, without regard to its conflict of law provisions. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of the Republic of Lithuania.
Assignment: Customer may not assign without Provider’s prior written consent.
Export Regulation: Customer must comply with all applicable export laws and regulations.
Equitable Relief: Either party may seek injunctive relief for breach of confidentiality or intellectual property provisions.
Entire Agreement: This Agreement and any Order Forms constitute the entire agreement between the parties.
